The McGraw-Hill Companies Appoints Scott C. Marden President, Information and Media Services

New York (April 16, 2001) - The McGraw-Hill Companies (NYSE: MHP) has announced the appointment of Scott C. Marden as president of its Information and Media Services segment. Mr. Marden, who has more than 20 years of senior operating and advisory experience in the media and technology industries, will be responsible for managing the Corporation's media and business information properties.

"Scott's extensive management experience in the media and technology industries and his strong strategic focus will be extremely valuable," said Harold McGraw III, chairman, president and CEO of The McGraw-Hill Companies. "He will work with a talented management team to expand our global position and to broaden our capabilities and effectiveness through the use of technology."

Mr. Marden, 46, will report to Mr. McGraw and will be responsible for managing all elements of the Corporation's Information and Media Services segment, including the BusinessWeek Group, the Broadcasting Group, the Construction Information Group, Aviation Week, Platts and the Healthcare Information Group. Revenue for the segment was $1.07 billion in 2000.

He was most recently a partner with Compass Partners International, L.L.C. where he originated and executed private equity opportunities for its European leveraged buyout fund. Previously he served as chief operating officer and executive vice president of Marvel Entertainment Group, Inc., where he directed publishing, licensing and international businesses as well as Internet and software activities. Mr. Marden also served as president and CEO of Philips Media, a division of Philips Electronics, and held senior positions at CBS Publishing. He began his career as an investment banker and worked closely with The McGraw-Hill Companies on several significant transactions.

Mr. Marden holds a master's degree in international policy from the University of Chicago's Harris School and a bachelor's degree from Fordham University.
